Company formation, governance and GAFI procedures
We advise on company formation, shareholder affairs and corporate governance, and prepare the documents needed for corporate decisions and changes.
Our work before the General Authority for Investment and Free Zones includes the approval of ordinary and extraordinary general meeting minutes. We also prepare legal opinions on corporate questions and the procedures required to give effect to a proposed decision.
Commercial contracts
We draft, review, negotiate and amend commercial agreements, including service, distribution, licensing and franchise contracts. We examine the allocation of obligations, payment provisions, performance requirements and termination arrangements.
Our work also includes legal research and opinions on contractual questions, and advice when a disagreement over performance begins to affect the commercial relationship.
Transactions, financing and projects
The team’s experience includes mergers and acquisitions, share-sale documentation, legal due diligence, joint ventures and private-equity transactions. We review the legal position of the business and the documents governing the proposed transaction.
Our lawyers also have experience in securities issuance, related compliance and capital-investment financing. Project work includes concession and construction agreements, with experience in energy, electricity and hotel developments. Banking and capital-market disputes are addressed within Civil & Commercial Litigation.
Tax & Customs
We advise on tax and customs questions arising from business operations and transactions, including transaction taxation and transfer-pricing issues. We examine the legal treatment of the proposed arrangements and the supporting documents.
Tax and customs disputes are addressed alongside the relevant administrative and contentious work.
Intellectual Property & Licensing
We advise on intellectual-property questions arising in commercial activity and on agreements licensing the use of rights. This includes reviewing the permitted use, the parties’ obligations and the contractual terms governing the licence.
Related contractual disputes are considered together with the underlying commercial agreement.
